Prox for Agents — Terms of Service

1. Introduction

These Agent Terms of Service (“Agreement”) govern your use of Prox for Agents (“the Service”), including the buyer visualization tool at proxdesign.co/newhome. By creating an account or using the Service, you (“you,” “Agent”) agree to be bound by this Agreement with Prox LLC (“Prox,” “we,” “us”).

The Service lets you upload photographs of a property and send a private link to a prospective buyer. Through that link, the buyer can photograph furniture they own, place it into your photos, and generate a visualization. Visualizations the buyer chooses to share appear in your dashboard.

You represent that you are a licensed real estate professional, or are acting under the supervision of one, in each jurisdiction where you use the Service.

2. You are the licensee; the disclosure duty is yours

Prox labels every visualization “Virtually staged” in the image itself, and keeps the unaltered original paired with it. Those are features, not a legal opinion about your situation.Real estate advertising rules, MLS rules, and your brokerage’s policies apply to you and your broker, not to Prox. They differ by state and by MLS, and they change. You are responsible for determining what any given image requires of you and for complying.

Nothing in the Service, our marketing, or this Agreement is a representation that any image is compliant with any law, regulation, or MLS rule.

3. Visualizations are not listing marketing

Visualizations exist for one buyer, in one private session. Prox provides no way to export a visualization into a listing, an MLS, a flyer, a portal feed, or any advertisement, and we do not intend to build one.

If you capture a visualization by other means and publish it, you are publishing an advertisement, and every rule that governs your advertising applies to it — including the disclosure and original-image requirements in force in states such as California. You agree not to present a visualization as an unaltered photograph of a property in any context.

4. What a visualization is not

A visualization is an illustration of furniture in a room. It is not a measurement, a fit assessment, or a statement about the condition, dimensions, features, or value of a property. Nothing in a visualization should be relied on for any of those purposes, by you or by a buyer.

Images are generated by AI and may contain errors. You are responsible for reviewing any visualization before you rely on it or forward it.

5. Photo rights and indemnity

Each time you upload listing photographs, you confirm you have the right to use them and to let the buyers you invite create edited versions of them through the Service. A photographer normally retains copyright in listing photographs unless your agreement says otherwise, and a licence to market a listing does not always cover derivative works. Confirming this is your judgment to make; your confirmations are recorded to your account with the date, the listing, and the policy version.

You agree to indemnify Prox against claims arising from photographs you upload, including claims by a photographer, a property owner, or a brokerage. If a photograph’s owner objects, you are responsible for removing it from your listing.

6. Buyer links and buyer data

Buyer links expire and can be revoked by you at any time. Buyers do not create accounts and are not our customers or yours by virtue of using a link. Buyer-uploaded photographs are handled as described in our Privacy Policy; you agree not to attempt to obtain a buyer’s photographs other than through the visualizations they choose to share with you.

Send links only to people who are expecting them from you.

7. Acceptable use

You agree not to use the Service to alter walls, floors, ceilings, windows, doors, fixtures, landscaping, or views; to conceal a defect or a condition of a property; or to add people, brand logos, or content that signals a preference or limitation on any basis protected by fair housing law. The Service is designed to place furniture, and attempts to do otherwise may be refused.

8. Trial, billing, and render allowance

Trials require no payment method. Paid plans include a monthly allowance of visualizations, which is measured across all of your listings and consumed by the buyers you invite. Allowances, prices, and trial terms are shown in the Service and may change on notice. Subscriptions renew until cancelled; cancellation takes effect at the end of the current period.

9. Pilot status

The Service is offered on an invite-only basis while in pilot. Features may change or be withdrawn, and availability is not guaranteed. We may end the pilot or an individual account on notice.

10. Limitation of liability

The Service is provided “as is,” without warranties of any kind. To the maximum extent permitted by law, Prox is not liable for indirect, incidental, or consequential damages, including lost transactions or commissions, and our total liability is limited to the amounts you paid us in the twelve months preceding the claim. Nothing here limits liability that cannot be limited by law.

11. Changes to these terms

We may update this Agreement. Material changes will be notified by email to the address on your account. Continued use after a change takes effect constitutes acceptance.
